1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Agent", "you", or "your") and Converta Pty Ltd (ABN 72 693 952 680, ACN 693 952 680) ("Converta", "we", "our", or "us") governing your access to and use of the Converta agent platform, including all related tools, dashboards, and services (the "Platform").

By creating an account, accessing the Platform, or purchasing leads, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Platform.

Converta reserves the right to update or modify these Terms at any time. Continued use of the Platform following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

2. About the Platform

Converta operates a property buyer lead matching platform. We generate enquiries from individuals who are actively planning to purchase property ("Buyers") through Converta-owned marketing funnels and qualification processes. These enquiries are made available to licensed buyer's agents through the Platform.

Converta acts solely as an intermediary. We facilitate introductions between Buyers and Agents. We do not participate in, guarantee, or assume responsibility for any transaction, engagement, or relationship between an Agent and a Buyer.

3. Account Registration and Approval

3.1 Application

To access the Platform, you must submit an account application. All applications are subject to a review and approval process conducted at Converta's sole discretion. We conduct background checks to verify that applicants hold appropriate professional licensing and are suitable for inclusion on the Platform.

You are not required to submit proof of licensing as part of your application. However, Converta reserves the right to request evidence of licensing, accreditation, or professional standing at any time, and failure to comply may result in suspension or termination of your account.

3.2 Account Information

You are responsible for ensuring that all information provided during registration and at all times thereafter is accurate, current, and complete. You must promptly update your account if any information changes.

3.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify Converta immediately at contact@converta.com.au if you become aware of any unauthorised use of your account.

4. Leads and the Marketplace

4.1 Lead Generation

All leads available on the Platform are generated through Converta-owned marketing funnels and qualification processes. Leads are genuine enquiries submitted by real individuals who have expressed interest in purchasing property and have indicated willingness to be contacted by a buyer's agent.

Each lead undergoes an internal qualification process before being made available on the Platform. Where a Buyer has verified their phone number via a one-time passcode, this will be indicated on the Platform. Where a phone number has not been verified, this will also be clearly indicated.

4.2 Lead Information

Prior to purchase, you may view certain non-identifying details about a lead, which may include the Buyer's property location preference, approximate budget, purchase timeline, property type, buyer type (investor or owner-occupier), and finance status.

Upon purchase, you will receive the Buyer's name, email address, phone number, and the property purchase details they provided through the qualification form. Converta does not share backend data such as IP addresses, device information, or other technical data with Agents.

4.3 Multi-Agent Matching

Each lead may be purchased by up to three (3) Agents. This is clearly displayed on the Platform. Once a lead has been purchased by three Agents, it will no longer be available for purchase. By using the Platform, you acknowledge and accept that leads are non-exclusive unless otherwise indicated.

4.4 Exclusive Leads

Converta may, at its discretion, offer exclusive lead options from time to time. Where available, exclusivity options and associated pricing will be clearly displayed on the Platform. The availability of exclusive leads is not guaranteed.

4.5 Lead Freshness and Availability

Leads are typically made available on the Platform within minutes of a Buyer completing the qualification form. Each lead displays the date and time it was posted, allowing you to assess its recency before purchase.

Lead pricing is dynamic and determined by Converta's internal systems. Pricing may vary based on factors including, but not limited to, the age of the lead, the Buyer's location, budget, and other characteristics. Converta reserves the right to adjust lead pricing at any time without notice.

Leads may remain available on the Platform indefinitely and may be repriced over time at Converta's discretion.

5. Purchases and Payments

5.1 Payment Methods

All payments are processed through our third-party payment provider, Stripe. By making a purchase, you agree to Stripe's terms of service and privacy policy. Converta does not store your payment card details directly.

5.2 Purchase Options

The Platform offers two methods of purchasing leads:

  • Individual purchase: you may purchase a single lead at the displayed price at the time of purchase.

  • Credit packs: you may purchase bundles of credits in advance, which can then be applied to lead purchases on the Platform. Credit packs may offer volume-based pricing.

5.3 Finality of Purchases

All lead purchases are final. Once a lead has been unlocked, the Buyer's contact details are made available to you immediately. Due to the nature of digital information, which can be viewed, copied, or recorded instantly upon access, purchases cannot be reversed, undone, or refunded except as expressly stated in Section 6.

5.4 Credits

Credits purchased through the Platform are non-refundable. Credits expire twelve (12) months from the date of purchase. Expired credits will be forfeited and cannot be reinstated, refunded, or transferred.

Converta is under no obligation to refund, reinstate, or compensate for unused credits under any circumstances, including but not limited to account suspension, account termination, or voluntary account closure.

5.5 GST

Pricing displayed on the Platform may or may not include Goods and Services Tax (GST). Converta will clearly indicate whether GST applies at the time of purchase. GST treatment may change from time to time, and any changes will be reflected in the pricing displayed on the Platform.

6. Refunds and Disputes

6.1 No Refunds Policy

Converta does not offer refunds for purchased leads. Leads are genuine enquiries submitted by real individuals. We take steps to qualify each lead before it is made available on the Platform, and we clearly indicate whether a Buyer's phone number has been verified.

However, Converta does not guarantee that any Buyer will respond to contact attempts, proceed with a property purchase, or engage with your services. The decision to purchase a lead is made at your sole discretion based on the information available to you on the Platform prior to purchase.

A Buyer's failure to answer a call, respond to a message, or convert into a paying client does not constitute grounds for a refund.

6.2 Disputes

If you believe there are exceptional circumstances warranting a review of a specific lead purchase, you may submit a dispute by emailing contact@converta.com.au within twenty-four (24) hours of the lead being purchased.

Disputes submitted after the 24-hour window will not be considered. All disputes are reviewed on a case-by-case basis at Converta's sole discretion. Converta is under no obligation to issue a refund, credit, or replacement in response to any dispute.

The speed at which you attempt to contact a lead following purchase may be taken into consideration when assessing any dispute.

6.3 Credit Refunds

Purchased credits are non-refundable under any circumstances. If you believe exceptional circumstances apply, you may contact us at contact@converta.com.au to discuss your situation. Any resolution is at Converta's sole discretion and no outcome is guaranteed.

7. Agent Obligations and Conduct

7.1 Permitted Use

You may use the Platform and any lead data obtained through it solely for the purpose of offering your professional buyer's agent services to the relevant Buyer. You must not use lead data for any purpose unrelated to fulfilling the Buyer's stated property purchase enquiry.

7.2 Prohibited Conduct

You must not:

  • Resell, distribute, sublicense, or otherwise share lead data obtained through the Platform with any third party. Converta reserves the right to pursue legal action against any Agent found to be reselling or redistributing lead data.

  • Use the Platform, lead data, or any Converta materials to develop, support, or operate a competing product or service.

  • Attempt to reverse-engineer, scrape, or systematically extract data from the Platform.

  • Misrepresent your affiliation with Converta or make false claims regarding Converta's endorsement of your services.

  • Use the Platform in any manner that violates applicable laws, regulations, or professional standards.

  • Engage in conduct that, in Converta's reasonable opinion, is harmful, threatening, or disruptive to Buyers, other Agents, or the integrity of the Platform.

  • Use the Platform to solicit, recruit, or poach Converta employees, contractors, or other Agents.

7.3 Professional Standards

You are solely responsible for ensuring that you comply with all applicable laws, regulations, licensing requirements, and professional standards relevant to your jurisdiction and your practice as a buyer's agent. This includes, but is not limited to, relevant state and territory real estate legislation.

Converta does not verify ongoing compliance and accepts no liability for your professional conduct or the services you provide to Buyers.

7.4 Contacting Leads

While there is no mandatory timeframe for contacting a purchased lead, Converta strongly recommends that Agents make initial contact within a reasonable timeframe following purchase. Timeliness of contact may be considered in any dispute assessment.

7.5 Mentioning Converta

You may reference Converta in your own marketing materials (e.g. "We source leads through Converta") provided that any such reference is accurate, not misleading, and does not imply endorsement, partnership, or affiliation beyond the Agent-platform relationship described in these Terms.

8. Account Suspension and Termination

8.1 Suspension or Termination by Converta

Converta reserves the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

  • Breach of these Terms or any Converta policy.

  • Suspected misuse of the Platform or lead data.

  • Conduct that Converta reasonably believes poses a risk to Buyers, their data, or the integrity of the Platform.

  • Excessive or vexatious disputes.

  • Prolonged inactivity on your account.

  • Any other reason Converta considers appropriate in its sole discretion.

Where Converta terminates or suspends your account, we will provide you with a reason for the action taken. However, Converta is not obligated to disclose internal investigation details, evidence, or methodology.

8.2 Effect of Termination

Upon termination of your account for any reason:

  • Your access to the Platform will be revoked immediately.

  • Any unused credits remaining in your account will be forfeited. Converta is not obligated to refund, compensate, or reinstate unused credits.

  • You must immediately cease using any lead data obtained through the Platform for any purpose, except to the extent necessary to fulfil existing engagements with Buyers already in progress.

  • Sections of these Terms that by their nature should survive termination (including Sections 6, 9, 10, 11, 12, and 14) will continue to apply.

8.3 Voluntary Closure

You may request closure of your account at any time by contacting contact@converta.com.au. Unused credits at the time of voluntary closure are non-refundable and will be forfeited.

8.4 Inactive Accounts

Converta may review accounts that show prolonged inactivity and may contact you to confirm your continued interest in the Platform. Converta reserves the right to suspend or close inactive accounts at its discretion.

9. Limitation of Liability

9.1 Intermediary Role

Converta operates solely as an intermediary platform connecting Buyers with Agents. Converta does not participate in, endorse, or assume responsibility for any transaction, engagement, negotiation, or relationship between an Agent and a Buyer.

9.2 No Warranties

The Platform and all leads are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Converta makes no representations or warranties of any kind, express or implied, including but not limited to:

  • The accuracy, completeness, or reliability of any information provided by a Buyer.

  • The likelihood that any Buyer will respond to contact attempts, engage with your services, or proceed with a property purchase.

  • Any particular conversion rate, return on investment, or commercial outcome.

  • The uninterrupted or error-free operation of the Platform.

9.3 Liability Cap

To the maximum extent permitted by law, Converta's total aggregate liability to you in connection with these Terms, the Platform, or any lead, whether arising in contract, tort (including negligence), statute, or otherwise, is limited to the total amount you have paid to Converta in the three (3) months immediately preceding the event giving rise to the claim.

9.4 Exclusion of Consequential Loss

To the maximum extent permitted by law, Converta will not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of opportunity, or loss of data, regardless of whether such damages were foreseeable or whether Converta was advised of the possibility of such damages.

9.5 Buyer Conduct

Converta accepts no responsibility or liability for the actions, omissions, representations, or conduct of any Buyer, whether before, during, or after any interaction with an Agent. By using the Platform, you acknowledge that Buyers are independent third parties and that Converta has no control over their behaviour.

10. Indemnification

You agree to indemnify, defend, and hold harmless Converta, its directors, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Platform or any lead data obtained through it.

  • Your breach of these Terms.

  • Your interactions with any Buyer, including any services provided or representations made.

  • Any claim by a Buyer or third party relating to your professional services or conduct.

  • Your violation of any applicable law, regulation, or professional standard.

11. Intellectual Property

All intellectual property rights in the Platform, including but not limited to the Converta name, branding, logo, software, design, content, and any data or analytics generated by the Platform, are and remain the exclusive property of Converta Pty Ltd.

Nothing in these Terms grants you any right, title, or interest in Converta's intellectual property. You must not use Converta's name, branding, or materials in any way that is misleading, disparaging, or inconsistent with these Terms without prior written consent.

Any feedback, testimonials, reviews, or suggestions you provide to or about Converta may be used by Converta for marketing, promotional, or operational purposes without compensation or further consent.

12. Non-Solicitation

During the term of your account and for a period of twelve (12) months following termination or closure, you must not directly or indirectly solicit, recruit, or attempt to recruit any employee, contractor, or agent of Converta, or any other Agent registered on the Platform, for the purpose of developing, supporting, or operating a competing service.

You must not use the Platform or any information obtained through it to identify, approach, or recruit individuals for any purpose other than fulfilling Buyer enquiries as described in these Terms.

13. Force Majeure

Converta will not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond Converta's reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, cyberattacks, pandemic, or other force majeure events.

14. General Provisions

14.1 Governing Law

These Terms are governed by and construed in accordance with the laws of Queensland, Australia. You submit to the exclusive jurisdiction of the courts of Queensland and any courts entitled to hear appeals from those courts.

14.2 Assignment

Converta may assign, transfer, or novate its rights and obligations under these Terms to any third party without your prior consent, including in connection with a merger, acquisition, or sale of assets. You may not assign or transfer your rights or obligations under these Terms without Converta's prior written consent.

14.3 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.

14.4 Entire Agreement

These Terms, together with any policies or guidelines referenced herein, constitute the entire agreement between you and Converta regarding your use of the Platform and supersede all prior agreements, understandings, or representations.

14.5 Waiver

A failure by Converta to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.6 Modifications to the Platform

Converta reserves the right to modify, update, suspend, or discontinue any aspect of the Platform at any time, including features, functionality, lead availability, and pricing, without prior notice. Converta will not be liable to you for any modification, suspension, or discontinuation of the Platform.
